Purchase Terms & Condition

Effective Date: 9th September 2025

These Machine Purchase Terms and Conditions (“Purchase Terms,” “Terms”) govern all purchases and licenses of Quantum Machines (“Machines”) made through the Quantum Datalytica Platform (the “Platform”), owned and operated by Quantum Datalytica LLC (“Quantum Datalytica,” “we,” “our,” “us”).

By purchasing or licensing a Machine, you (“Client,” “User,” “you,” “your”) agree to these Terms. If you do not agree, you must not purchase or use any Machines from the Platform.

1. Nature of Purchase & License Grant

• License, Not Sale:
  • When you purchase a Machine, you are not buying ownership of the code or intellectual property.
  • Instead, you are granted a non-exclusive, non-transferable, limited license to use the Machine within Quantum Datalytica Platform in your workflows.
• Permitted Use:
  • Machines may only be used for your internal business or personal purposes.
  • You may integrate Machines into workflows, generate outputs, and use those outputs freely.
• Prohibited Use:
  • You may not attempt to reverse-engineer, decompile, or modify Machines unless explicitly allowed.
  • You may not resell, redistribute, or sublicense Machines outside of the Platform.
  • You may not use Machines for illegal, fraudulent, or harmful purposes.

2. Pricing & Payment

• Pricing Information:
  • Machine prices are displayed on the Platform at the time of purchase.
  • Prices may vary by Machine type, functionality, or subscription plan.
• Payment Methods:
  • Payments are processed securely via third-party payment processors (e.g., Stripe, PayPal).
  • By completing a purchase, you authorize us and our payment providers to charge the specified amount.
• Billing Models:
  • One-time purchase: Permanent license (subject to these Terms).
  • Subscription purchase: License continues while subscription fees are paid.
  • Usage-based billing: Some Machines may have per-use or per-execution charges.
• Refund Policy:
  • All purchases are final unless explicitly stated otherwise.
  • Refunds may be considered only for technical failures that prevent proper use of a Machine, subject to review.

3. Delivery & Access

• Access Grant:
  • Once payment is confirmed, you will be granted access to the purchased Machine via your Platform account.
  • Access may be immediate or may require review/approval in some cases.
• Usage Limits:
  • Access to Machines may be subject to limits, such as:
    • Maximum workflow executions.
    • Data processing volume.
    • Subscription tier restrictions.
• Revocation of Access:
  • We may temporarily suspend access if payments fail, subscriptions lapse, or Terms are violated.

4. Support & Updates

• Developer Responsibility:
  • Machine developers are primarily responsible for maintaining and updating their Machines.
  • Updates may include bug fixes, compatibility improvements, or security patches.
• Quantum Datalytica’s Role:
  • We act as an intermediary between Clients and Developers.
  • We may facilitate communication, monitor quality, and enforce minimum standards.
• Support Levels:
  • Not all Machines include ongoing support or updates unless explicitly stated.
  • Premium support may be available for additional fees.

5. Restrictions on Use

You agree not to:

• Reverse-engineer, decompile, or otherwise attempt to access source code.
• Circumvent licensing mechanisms or billing systems.
• Resell, sublicense, or make Machines available to third parties outside the Platform.
• Upload or process unlawful data using a Machine (e.g., violating data protection laws).
• Use Machines in ways that could damage, overload, or impair the Platform.

6. Intellectual Property Rights

• Developer IP: Machines are the intellectual property of their respective Developers.
• Client Rights: You receive only the limited license rights described in Section 1.
• Quantum Datalytica IP: The Platform, branding, and infrastructure remain the property of Quantum Datalytica.
• No Ownership Transfer: Purchasing a Machine does not give you rights to its source code or IP ownership.

7. Warranties & Disclaimers

• Developer Warranties: Developers represent that Machines:
  • Are original or lawfully licensed.
  • Do not contain malware or malicious code.
  • Do not knowingly infringe third-party IP rights.
• Quantum Datalytica Disclaimer:
  • Machines are provided “as is” and “as available”.
  • We make no guarantees that a Machine will be error-free, uninterrupted, or meet your business needs.
  • We do not guarantee compatibility with all systems, workflows, or third-party integrations.
• User Responsibility:
  • You are responsible for verifying that a Machine suits your requirements before purchase.

8. Limitation of Liability

• Cap on Liability: Quantum Datalytica’s liability for any claim related to a Machine purchase shall not exceed the amount you paid for that Machine.
• Exclusions: Neither Quantum Datalytica nor Developers are liable for:
  • Lost profits, business opportunities, or revenues.
  • Data corruption or loss.
  • Workflow failures caused by misconfiguration or misuse.
• Force Majeure: We are not liable for delays or failures caused by events outside our control (e.g., natural disasters, cyberattacks, internet outages).

9. Termination of License

• By Client: You may stop using a Machine at any time. No refunds will be issued unless explicitly provided under Section 2.
• By Quantum Datalytica/Developer: Your license may be terminated if you:
  • Breach these Terms.
  • Misuse or redistribute the Machine.
  • Fail to maintain subscription payments.
• Consequences: Upon termination:
  • Your license and access to the Machine will end immediately.
  • You must stop using the Machine and delete all copies within your control.

10. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the State of Texas, USA.
• Negotiation: Parties must first attempt to resolve disputes informally and in good faith.
• Arbitration: If unresolved, disputes will be submitted to binding arbitration in Texas. The arbitrator’s decision will be final and enforceable.

11. Changes to Purchase Terms

• Right to Modify: Quantum Datalytica may update these Purchase Terms at any time.
• Notice: Material changes will be announced at least 30 days before they take effect.
• Your Options:
  • If you disagree, you may stop using purchased Machines before changes take effect.
  • Continued use of purchased Machines after the effective date constitutes acceptance of the revised Terms.
